This highly-rated mid-size UK and international law firm has a couple of excellent opportunities for further Associates to join their busy and thriving Corporate / Private Equity practice in London. Their highly regarded PE team represent sponsors that provide private capital, as well as the companies, management teams, family offices and entrepreneurs who utilise this capital to acquire, create and grow businesses around the globe. The roles will accordingly focus on advising private equity sponsors, portfolio companies and management teams on a broad range of matters, including auction and buyout processes, majority and minority investments, bolt-ons, exits and related corporate advisory work. The team give their Associates high levels of responsibility backed up by the full support of the partners; you can expect to work closely with them on large-scale transactions, while also running a variety of smaller-scale matters. Applicants should ideally have experience of working on multiple private equity transactions, including in drafting and negotiating preliminary documentation (Exclusivity Agreements, Heads of Terms, Management Equity Term Sheets), and SPAs, Disclosure Letters, Investment Agreements and Articles of Association, as well as conducting legal due diligence exercises and preparing all ancillary documentation. To succeed in this high-level role, you'll need to have excellent drafting and technical legal skills, combined ideally with market knowledge of typical terms on private equity transactions, and be able to work effectively independently, while also being a strong team player.
